Camphire LLC – Expert Terms (Platform Terms for Experts)

(“Camphire”)

1. Marketplace Role; No Project Party

1.1 Camphire operates a marketplace platform connecting independent experts (“Expert”) with business customers (“Customer”).

1.2 Camphire is NOT a party to the Project Agreement between Expert and Customer and does not provide, supervise, accept, or guarantee the Project Services.

2. Eligibility; Profile Accuracy

2.1 Expert represents that all profile and qualification information is true, complete, and kept up to date.

2.2 Expert is responsible for all registrations, permits, visas, and legal compliance required to perform Projects.

3. Project Agreements (Customer ↔ Expert)

3.1 Projects are contracted directly between Customer and Expert through the Platform under the Project Terms and the selected project parameters.

3.2 Expert performs services directly for the Customer as an independent contractor.

4. Third-Party Invoicing Authorisation (Invoices issued by Camphire on Expert’s behalf)

4.1 Expert appoints Camphire as a third-party invoice issuer solely for the purpose of creating, issuing, transmitting, correcting and re-issuing invoices (and, where applicable, credit notes) IN THE NAME AND FOR THE ACCOUNT OF THE EXPERT for services rendered by Expert to Customers via the Platform.

4.2 Expert remains the supplier of record and is solely responsible for correctness of invoice content, tax classification/treatment, and all tax obligations.

4.3 Expert shall provide Camphire with accurate invoicing details (legal name, address, tax/VAT ID if any, and any required invoice notes where applicable) and promptly update them.

5. Payment Collection Mandate

5.1 Limited collection agent. Expert appoints Camphire as Expert’s limited collection agent solely to accept payments from Customers for Project Fees payable to Expert under Project Agreements concluded via the Platform.

5.2 Discharge. Payment by the Customer to Camphire discharges Customer’s payment obligation to Expert for the relevant amount, to the extent permitted by law.

5.3 Scope. This mandate relates solely to Project Fees payable to Expert. Any fee owed by the Customer to Camphire (e.g., a placement fee) is separate and does not reduce Expert’s Project Fees.

6. Payouts (“promptly”) and Holds

6.1 Payout timing. Subject to Section 6.2, Camphire will forward cleared funds (Project Fees collected on Expert’s behalf) to Expert promptly after receipt.

6.2 Holds/reserves. Camphire may temporarily hold or delay payouts to the extent reasonably necessary to (i) investigate a dispute, (ii) address suspected fraud/misuse, (iii) comply with legal or banking/compliance obligations (incl. sanctions checks), (iv) manage chargebacks, reversals, or failed payments, or (v) resolve objectively substantiated concerns about payment legality.

7. Set-off and Recovery

7.1 Set-off. Camphire may set off refunds/chargebacks/penalties or other amounts owed by Expert to Camphire against current or future payouts, where such amounts are connected to Projects or Expert’s breach/unlawful conduct.

7.2 Repayment. If a refund/chargeback occurs after payout, Expert shall reimburse Camphire within 10 days upon request; Camphire may recover via set-off.

8. Cooperation in Disputes

8.1 Expert shall cooperate by providing evidence (deliverables, timesheets, communications) within 5 business days upon request.

9. Confidentiality

9.1 Expert shall keep Customer information and Platform information confidential and use it solely for Project performance.

10. Non-Circumvention

10.1 During the term and for 24 months after first introduction to a Customer via the Platform, Expert shall not contract with that Customer outside the Platform without Camphire’s prior written consent.

11. Compliance; Independent Contractor

11.1 Expert is an independent contractor. Nothing creates employment, partnership, or general agency. The only agency granted is the limited collection mandate in Section 5.

11.2 Expert shall comply with applicable laws (anti-bribery, export controls, sanctions, data protection, and reasonable security requirements communicated for the Project).

12. Indemnity (Platform-level)

12.1 Expert shall indemnify and hold harmless Camphire from third-party claims, damages, fines, and costs arising out of Expert’s unlawful conduct, IP infringement, or data/security breaches in connection with Projects.

13. Suspension and Termination

13.1 Camphire may suspend or remove Expert for material breach, fraud, repeated misuse, compliance risk, or circumvention.

13.2 Ongoing Project Agreements remain between Customer and Expert; Camphire may continue to facilitate collection/payout/dispute workflows as needed.

14. Governing Law; Venue

14.1 Unless otherwise agreed in the project parameters, German law applies, excluding CISG.

14.2 Exclusive venue is Berlin, Germany, where permissible.
